Shopping.com Sponsored Link Contracts With Google

"In the first nine months of 2003 and 2004, we derived approximately 34.4% and 44.1% of our revenues, respectively, from these agreements. Our revenues under these agreements generally depend on the amount Google charges its advertisers for the lead referrals, which we do not set. However, under one of our agreements with Google, we were guaranteed payments of $16.0 million during each of the 12-month periods ending April 30, 2003 and 2004, and under another of our agreements with Google, we are guaranteed payments of $500,000 per month through February 2005."

UK - source (note: GSA = Google Service Agreement)

"The GSA is effective through November 30, 2006. Shopping.com UK may terminate the GSA on October 31, 2005 by providing at least 30 days prior written notice to Google.
Shopping.com UK had a prior agreement with Google in the United Kingdom that accounted for 2% of Shopping.com Ltd.’s 2003 revenues."
